Hi All, Reviewed the Cornerstone LPA via VC Lab/as a part of the VI assignment and wanted to check in - since the document gives a first-time GP flexibility to define the fund’s investment period and investment mandate. How did you decide which parts of your thesis needed to be written as firm investment restrictions versus left broad enough to give you judgment as the market and portfolio opportunities evolved? 

What are the real failure-mode scenarios that the LPA template may not already cover? Ie. What happens if an LP can't pay a capital call? If I want to co-invest personally in a deal? If a dispute with an LP can't be resolved directly?

Hi everyone, I have three quick questions after reviewing the Cornerstone LPA, Compliance Policy, and Valuation Policy as part of Venture Institut:
1. For a small emerging fund, when do you recommend using normal capital calls versus allowing an LP to prefund up to 100% of its commitment?
2. If the Investment Lead also operates a venture studio that may work with companies eligible for Fund investment, what conflict disclosures or approvals should be documented before investing?
3. The LPA requires valuation at least annually, while the Valuation Policy requires quarterly valuation. Should quarterly valuation be treated as the operating standard for LP reporting?

How can financial information or financial statements be considered sufficiently defensible or acceptable when they are simply “Certified by General Partner,” rather than requiring an independent tax, accounting, or financial professional to certify those elements of the fund? When is outside professional certification or review actually required?
